ENGLEWOOD, Colo., Feb. 5, 2013 /PRNewswire/ --Starz, LLC, a wholly-owned subsidiary of Starz (Nasdaq: STRZA, STRZB), along with a Co-Issuer subsidiary of Starz, LLC (collectively the "Co-Issuers") today announced their intention to offer $150 million in aggregate principal amount of senior notes due 2019 (the "Notes"). The Notes are being issued as additional notes under the indenture governing the Co-Issuers' existing $500 million 5.00% Senior Notes due 2019 ("existing 5% senior notes") and will have identical terms to, and are expected to be treated as a single class with, the existing 5% senior notes. The net proceeds from the offering will be used to repay indebtedness under Starz' existing senior secured credit facility and for general corporate purposes.
The Co-Issuers will make the offering pursuant to an exemption under the Securities Act of 1933, as amended (the "Securities Act"). The initial purchasers will offer the Notes only to Qualified Institutional Buyers as permitted under Rule 144A of the Securities Act. The Notes will not be registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act.
