Atlas Resource Partners, L.P. Announces Pricing Of Senior Notes Offering

Atlas Resource Partners, L.P. (NYSE: ARP) (“ARP” or “the Company”) announced today the pricing of a private offering of $275 million aggregate principal amount of 7 ¾% Senior Notes due 2021 issued at par. ARP intends to use the net proceeds from the offering to repay all borrowings under its term loan credit facility and a portion of the borrowings under its revolving credit facility. The offering is expected to close on January 23, 2013, subject to the satisfaction of customary closing conditions.

The notes will not be registered under the Securities Act of 1933 or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
