(Nasdaq:FIVE) today announced that it has filed a registration statement with the U.S. Securities and Exchange Commission relating to a proposed secondary offering of 7,000,000 shares of its common stock. All of the shares are being offered by selling shareholders, including certain members of Five Below's management team and Board of Directors (and their affiliates). The underwriters will have a 30-day option to purchase an additional 1,050,000 shares of common stock. Five Below will not receive any proceeds from the sale of shares in this offering.
