The Eloqua sale investigation centers on whether Eloqua’s shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Eloqua’s stock, and whether Eloqua’s board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. Notably, according to at least one analyst with Yahoo! Finance, the true inherent value of the stock could be as high as $27.00 per share and the stock was trading at over $24.00 per share on November 1, 2012. Shareholder rights attorney Willie Briscoe stated that “due to the proposed sale price, the size of the deal and other factors, we believe that this transaction may undervalue Eloqua’s stock. Our lawsuit will seek to obtain the highest share price for all shareholders.”
