Arrowhead Announces Pricing Of A Public Offering Of Common Stock And Warrants

Arrowhead Research Corporation (NASDAQ: ARWR) today announced that it has priced a public offering of approximately 1.8 million units at a price to the public of $2.26 per unit. The Company has received commitments and indications for approximately $4 million in gross proceeds. The sale of the units is expected to close on December 12, 2012, subject to the satisfaction of customary closing conditions. Each unit consists of one share of common stock and one warrant to purchase 0.50 of a share of common stock.

Arrowhead intends to use the net proceeds of this offering for general corporate purposes, including working capital, research and development expenditures, clinical trial expenditures, and capital expenditures.

Dawson James Securities, Inc. is acting as the sole book-running manager for the offering. Additionally, the Company has arranged for the sale of units to certain other investors.

The shares of common stock and warrants will be issued separately, and no units will be issued or certificated. The warrants are exercisable immediately upon issuance, have a five-year term and an exercise price of $2.20 per share. The warrants will be delivered to the investors by physical delivery following the closing. There is no established public trading market for the warrants and we do not expect a market to develop.
