Under the terms of the transaction, CreXus shareholders will receive $12.50 for each share of CreXus stock they own. The transaction has a total approximate value of $839 million. Annaly already holds a 12.4% stake in CreXus. The investigation concerns whether the CreXus Board of Directors breached their fiduciary duties to CreXus stockholders by failing to adequately shop the Company before entering into this transaction and whether Annaly is underpaying for CreXus shares, thus unlawfully harming CreXus stockholders.
