Strata Announces $500,000 Private Placement

TORONTO, Sept. 25, 2012 /CNW/ - Strata Minerals Inc. (TSXV: SMP) ("Strata" or the "Company") is pleased to announce that it has arranged a non-brokered private placement of up to 5,000,000 units (the "Units") at a price of $0.10 per Unit for aggregate proceeds of up to $500,000.

Each Unit consists of one common share of the Company and one-half of one share purchase warrant.  Each warrant will entitle the purchaser to purchase an additional common share at a price of $0.15 per share for a period of eighteen months following the closing of the offering.  Where the Strata common shares trade for twenty (20) consecutive trading days at a weighted average trading price of not less than $0.25 per share, Strata may accelerate the expiry of the warrants, such that the warrants shall expire within 30 days of the issuance of a news release by Strata disclosing such accelerated expiry.  The net proceeds of the financing will be added to working capital.  A finder's fee will be paid to arm's-length parties in this private placement.

The securities issued under this financing will be subject to a four month hold period from the date of closing of the offering.

The private placement is subject to the approval of the TSX Venture Exchange.
