of senior unsecured notes composed of
aggregate principal amount of 2.00% senior notes due 2017 (the "2017 Notes") and
aggregate principal amount of 3.45% senior notes due 2022 (the "2022 Notes" and together with the 2017 Notes, the "senior notes"). The sale of the senior notes is expected to settle on
September 21, 2012
, subject to customary closing conditions. FMC Technologies intends to use the net proceeds from the offering to repay outstanding commercial paper and indebtedness under its revolving credit facility.
