Each Unit consists of one common share (a "Share") and one transferable share purchase warrant (a " Warrant"). Each Warrant entitles the holder to purchase one common share (a " Warrant Share") at a price of $0.18 until September 10, 2017, being 5 years from the closing of the 1st Tranche. The Company will pay a finder's fee of $25,819.99 to Weiser Capital Limited. This closing represents the first of several proposed tranches of the Company's previously announced non-brokered private placement. All securities issued above are subject to a hold period expiring on January 11, 2013, being 4 months and 1 day after closing of the 1st Tranche.
