Under the terms of the transaction, Tower shareholders will receive a certain number of Canopius Bermuda shares equal to a Stock Conversion Number and $1.25 in cash for each share of Tower stock they own. The Stock Conversion Number will equal the quotient obtained by dividing the price per share of Tower common stock (reduced by the $1.25 per share that Tower shareholders will be paid in the merger) at the market close on the date of the pricing of the Canopius Secondary Offering by the Adjusted Canopius Bermuda Price Per Share (as defined in the Merger Agreement). The investigation concerns whether the Tower Board of Directors breached their fiduciary duties to Tower stockholders by failing to adequately shop the Company before entering into this transaction and whether Canopius Holdings Bermuda, Limited is underpaying for Tower shares, thus unlawfully harming Tower stockholders.
