$400 million, which AOL Inc. commenced on
June 28, 2012, rather than make a Reference Share Offer Adjustment and distribute Additional Interest, if any, in accordance with the terms of CenterPoint Energy, Inc.'s 2.0 percent Zero-Premium Exchangeable Subordinated Notes due 2029 (ZENS).

August 2, 2012, unless extended or earlier terminated by AOL Inc.
