Green Mountain and certain of its senior executives are charged with issuing materially false and misleading statements, during the Class Period, in violation of federal securities laws.

On May 2, 2012, Green Mountain issued a release announcing quarterly financial results, well below prior guidance. At that time, the Company also revised downward, guidance for the full fiscal year 2012. The next trading day, Green Mountain shares fell $23.65 per share – a decline of almost 50% - to close at $25.87 per share, compared to the prior day's close of $49.52 per share.
