$25 million of its common stock in a private placement (the "Offering"), subject to market conditions.
The Offering will be made only to accredited investors pursuant to Regulation D under the Securities Act of 1933, as amended (the "Securities Act"). The shares being offered have not been registered under the Securities Act or any state securities laws, and may not be offered or sold in
the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
The Company intends to use the net proceeds from the offering for working capital, general corporate purposes and capital expenditures.
