(NYSE: UHS) today announced the expiration of its offer to exchange its outstanding 7% Senior Notes due 2018 (the "outstanding notes") that were originally issued in an aggregate principal amount of $250 million in a private offering on September 29, 2010 for an equal principal amount of new notes (the "exchange notes") registered under the Securities Act of 1933, as amended (the "Securities Act"), pursuant to its effective registration statement on Form S-4 filed with the Securities and Exchange Commission (the "SEC") on April 1, 2011 (as amended to date, the "Registration Statement").  The exchange notes are substantially identical to the outstanding notes, except that the exchange notes have been registered under the Securities Act and will be freely tradable.
