Windstream Announces Proposed Private Offering Of $500 Million Of Senior Notes Due 2021

LITTLE ROCK, Ark., March 14, 2011 (GLOBE NEWSWIRE) -- Windstream Corp. (Nasdaq:WIN) announced today that it intends to offer in a private placement $500 million aggregate principal amount of senior notes that will mature in 2021 and bear interest at a fixed rate. The offering is expected to be completed in late March 2011, subject to market and other conditions.

If the offering is successfully placed, Windstream expects to increase the maximum amount of 8.625% Senior Notes due 2016 it is seeking in its previously announced tender offer. Windstream expects to use the net proceeds of the offering, together with the net proceeds of its previously announced offering of 7.50% Senior Notes due 2023 and borrowings under its revolving line of credit or cash on hand, to pay the total consideration in connection with the tender offer, as well as related fees and expenses.
