Hythiam Raises Approximately $3.5 Million In Registered Direct Offering
Hythiam, Inc. (OTCBB:HYTM) announced today that it has entered into definitive agreements to sell 17,500,000 shares of its common stock at a price per share of $.20 to certain institutional investors in a registered direct offering, representing gross proceeds of approximately $3.5 million, before deducting placement agent fees and expenses of the offering.
Investors will also receive warrants to purchase 13,125,000 shares of the Company’s common stock. The warrants have an exercise price of $.20 per share and are exercisable at any time after the closing of the transaction and before the fifth anniversary of such initial issuance date. The closing of the offering is expected to take place on or before July 6, 2010, subject to the satisfaction of customary closing conditions. The Company plans to use the net proceeds from the offering for working capital and general corporate purposes. The shares and warrants were offered by the Company pursuant to an effective registration statement filed with the Securities and Exchange Commission and declared effective on June 28, 2010. Rodman & Renshaw, LLC, a wholly owned subsidiary of Rodman & Renshaw Capital Group, Inc. (Nasdaq:RODM), acted as the exclusive placement agent for the transaction.
