DynCorp International LLC Extends The Cash Tender Offer And Consent Solicitation For Its 9.5% Senior Subordinated Notes

 

DynCorp International LLC (“DynCorp International”), the wholly-owned operating subsidiary of DynCorp International Inc. (“DI”), (NYSE: DCP), announced today the extension of the expiration time for the previously announced cash tender offer and consent solicitation for any and all outstanding $376,219,000 aggregate principal amount of 9.5% Senior Subordinated Notes due 2013 (CUSIP No. 23326BAB0) (the “Notes”) of DynCorp International and DIV Capital Corporation. The expiration time for the cash tender offer and consent solicitation has been extended from midnight, New York City time, on July 2, 2010, to 8:00 a.m., New York City time, on July 7, 2010, unless further extended in accordance with the terms of the Offer to Purchase and Consent Solicitation Statement, dated June 7, 2010. The expiration time for the cash tender offer and consent solicitation is also the date on which the previously announced merger of DI with and into Delta Tucker Sub, Inc., an entity created on behalf of affiliated funds and/or managed accounts of Cerberus Capital Management L.P., is scheduled to close.

Except for the extension described above, all of the terms and conditions set forth in the Offer to Purchase and Consent Solicitation Statement dated June 7, 2010 and related Consent and Letter of Transmittal with respect to the Notes (collectively, the “Offer Documents”) remain unchanged. As of 5:00 p.m., New York City time, on June 28, 2010, $374,219,000 principal amount, or approximately 99.5%, of the Notes had been tendered.

DynCorp International’s tender offer is subject to the conditions set forth in the Offer Documents including, among other things, the consummation of the Merger. However, completion of the tender offer and consent solicitation is not a condition to completion of the Merger.
