Law Offices Of Howard G. Smith Announces Investigation On Behalf Of Shareholders Of American Italian Pasta Company
Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of American Italian Pasta Company (“AIPC” or the “Company”) (NASDAQ:AIPC) related to the Company’s agreement to be acquired by Ralcorp Holdings, Inc. (“Ralcorp”). The proposed cash transaction is valued at approximately $1.2 billion.
Under the terms of the definitive merger agreement entered into by the parties, Ralcorp will commence a tender offer to acquire all of the outstanding shares of AIPC common stock for $53.00 per share in cash. After the closing of the proposed transaction, AIPC will become a wholly-owned subsidiary of Ralcorp. The transaction is expected to close during Ralcorp’s fourth fiscal quarter ending September 30, 2010. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the transaction by AIPC’s board of directors.
