Goldspan Resources, Inc. Seeks To Acquire Able Energy New York From American Bio Fuels
As part of a letter of intent, Goldspan Resources, Inc. (OTCBB:GSPN) and American Bio Fuels, LLC, have agreed to commence due diligence immediately, preceding entering into a definitive purchase agreement whereby Goldspan Resources will acquire all of the issued and outstanding shares of Able Energy New York.
American Bio Fuels and Goldspan Resources shall use reasonable efforts to conclude negotiations and execute and deliver the purchase agreement by June 15, 2010 in which the final valuation, terms and conditions will be open until the due diligence and audit of Able New York are completed. Able NY is a retail distributor of home heating oil in New York state. ABF is desirous of selling 100% of its issued and outstanding shares of Able NY. GSPN recognizes that once the acquisition of Able NY is completed, the newly acquired entity, with adequate funding, will be able to expand its operations through acquisitions, organic growth and integration of distributors in contiguous and new markets.
