HRPT Properties Trust Announces Annual Meeting Results

 

HRPT Properties Trust (NYSE: HRP) announced the results of its annual meeting held earlier today as follows:

Patrick F. Donelan was re-elected as an Independent Trustee receiving 134,258,484 votes, or 60% of all shares outstanding. Mr. Donelan was re-elected for a three (3) year term until the 2013 annual meeting.

Shareholders also approved, with 135,660,042 votes or 61% of all shares outstanding, an amendment to HRP’s declaration of trust to delete restrictions upon the timing of HRP’s communications with shareholders.

In addition, shareholders approved, with 190,944,124 or 85% of all shares outstanding, the ratification of appointment of Ernst & Young LLP as HRP’s independent registered public accounting firm.

The percentages of votes set forth in this press release are based upon preliminary tabulations and may be changed when the inspector of elections appointed at the meeting completes his final tabulation and files his report with the official records of the meeting.

The meeting was adjourned with respect to a proposal to amend HRP’s declaration of trust to change the vote required to elect trustees in uncontested elections. As of April 14, 2010, a majority of the shares which have been voted on this proposal have voted in favor of it; however, the vote required for approval of this proposal has not been achieved. In these circumstances, HRP determined to adjourn the meeting for purposes of voting on this proposal until 3:00 p.m. on Thursday, May 13, 2010, to allow shareholders who have not yet voted on this proposal to do so.
