Goldspan Resources, Inc., Announces Signing Stock Purchase And Acquisition Agreement

 

Goldspan Resources, Inc.’s (OTCBB:GSPN) primary mission is to seek investments in mines and prospects that are either operating or in the late exploratory or development stage. The Company has expanded its mission to include the development of mining technology that can decrease the cost of milling ore and tailings as well as increase the yield on milling of gold and other recoverable metals.

Goldspan Resources, Inc. announced that effective March 26, 2010 an agreement to invest in X9 Gold Development, Inc. (“X9”) a Delaware corporation was signed which included the following highlights:

  • This process will reduce the cost of milling ore and tailings from 200 microns to less than 35 microns (which will reduce the costs of the milling process) as well as allow for a greater yield of the ores being extracted as a result of the smaller size particles.
  • Currently, X9 has the worldwide exclusive licensing rights to the technology mentioned above for the technology which was developed by B9 Plasma, Inc. (“B9”). See below for description of B9 Bubble Mill technology vs. existing techniques.
  • Goldspan will have 120 days to fund the initial investment of $375,000 from a planned Private Funding (“PF”) for a seven and one half percent (7.5%) ownership in X9.
  • The funds will be used primarily to test up to ten (10) gold ores and tailings for documentation to demonstrate the ability of the technology to reduce the ore to the size of 35 microns or less.
  • Upon successful completion and satisfaction of the test samples, up to an additional $2,000,000 from the PF proceeds to provide for the development of a next generation 1 ton per hour processing unit.
  • In addition to the cash, Goldspan shall also issue 9,250,000 of its common shares in exchange for all the remaining 92.5% ownership of the common shares of X9, thereby giving Goldspan 100% ownership of X9 along with its worldwide exclusive license of the B9 technology.

The B9 Bubble Mill process is suitable for a variety of particle size reduction or degradation applications as an alternative to conventional grinding or milling. The B9 Bubble Mill uses computer-controlled aqueous solution bubble collapse as the mechanism of action, providing additional features, processing options, and capabilities not possible with current micron milling technology.
