Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Bowne & Co., Inc. (“Bowne”) (NYSE:BNE) related to the Company’s agreement to be acquired by R.R. Donnelley & Sons Company (“RR Donnelley”). The all-cash transaction is valued at approximately $481 million.

Under the terms of the definitive agreement entered into by the parties, RR Donnelley will acquire Bowne for $11.50 per share. Completion of the transaction is expected to occur in the second half of the year. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the transaction by the Bowne board of directors.
