Shares of Omni Energy Services(OMNI) were among the Nasdaq's winners Friday, jumping 18% after the company agreed to buy Preheat, a provider of oil field rental equipment and environmental services.

Omni, which provides seismic drilling and environmental services for geophysical companies, will pay $16 in cash, $4 million in promissory notes and 900,000 shares for Preheat. Omni expects the deal to immediately add to earnings. Preheat is expected to have $20 million in revenue for 2005; last year, Omni posted revenue of $51.6 million. Omni plans to create a new oil field rental equipment unit as part of the acquisition. The company's shares were up 60 cents to $3.86.

An acquisition also sent shares of MarineMax (HZO) higher. The recreational-boat retailer agreed to buy Port Arrowhead Marina and two sister companies for $27.5 million in cash. Port Arrowhead is one of the largest independent boat dealers in the country, MarineMax said, with revenue exceeding $70 million in its most recent fiscal year. Port Arrowhead has operations in Missouri and Oklahoma, and also serves Illinois, Kansas and Arkansas. The deal, projected to close in the first quarter, is expected to add to MarineMax's earnings in the first full year. MarineMax was up $1.63, or 5.4%, to $31.97.

Learning Tree (LTRE) tumbled 7% after the company said it expects to report a loss and a drop in revenue for the fiscal year ended Sept. 30. The company, a provider of education tools for businesses, estimated its fiscal-year loss from operations to be $1 million to $1.2 million. Learning Tree noted that its results were hurt by a one-time lease expense of $800,000, as well as $1.7 million in costs related to Sarbanes-Oxley compliance. The company estimates revenue for the period dropped to $151.6 million from $152.1 million in fiscal 2004. Learning Tree shares were down 98 cents, or 7%, to $13.01.
