Stocks in Motion: OraSure

Shares of Town & Country Trust (TCT Quote) were among the NYSE's biggest risers Tuesday after the real estate investment trust agreed to be bought out for about $1.3 billion in cash.

A joint venture formed by affiliates of Morgan Stanley Real Estate and Onex Real Estate agreed to buy the Baltimore-based apartment complex operator for $33.90 a share. The price represents a 14% premium to Monday's closing price. The deal is expected to close in the first quarter. Shares of Town & Country recently changed hands at $33.78, up $3.99, or 13%.

SeraCare Life Sciences (SRLS Quote) shares plummeted 60% after the biological products company said its auditor raised concerns about its financial statements. The auditors, Mayer Hoffman McCann, issued a letter setting forth concerns about SeraCare's revenue recognition policies, the accounting and valuation of inventory, and the timeliness and quality of internal controls over financial reporting. In addition, Mayer Hoffman noted the "perception that certain board members were exerting undue influence on the company's financial reporting process on the audit process," SeraCare said. The company plans to conduct an internal review and will delay filing its annual report for the year ended Sept. 30. Shares were trading down $11.74 to $7.56.

Park Electrochemical (PKE Quote) posted better-than-expected fiscal third-quarter results, sending shares up 11%. For the third quarter ended Nov. 27, the company's net profit rose to $9.7 million, or 48 cents a share, from $7.7 million, or 38 cents a share, a year earlier. Excluding special items, Park posted earnings of $8.2 million, or 41 cents a share, easily topping the 34 cents a share that analysts polled by Thomson First Call expected. Third-quarter sales rose to $57.2 million from $50.4 million last year. The company, which makes printed circuit materials, said that the market for advanced materials was strong, and it expects this strength will persist into the fourth quarter. Park shares were up $2.54 to $25.49.
